Influencer Marketing Foundation Terms of Service
Agreement
By accessing or using the Influencer Marketing Foundation (“IMF”, “we”, “us”, “our”) website, services, resources, or any associated platforms (collectively the “Platform”), you agree to these Terms of Service (“Terms”). If you disagree with any part of the Terms, you may not use our Platform.
Modifications
We reserve the right to modify these Terms at any time. We’ll notify you of significant changes by posting a notice on our Platform or via email. Continued use of the Platform after changes constitutes your acceptance of the revisions.
Account Creation and Eligibility
- You must provide accurate information when creating an account, if applicable.
- You must be of legal age to enter into a binding contract.
- You are responsible for maintaining the confidentiality of your account credentials.
- We reserve the right to suspend or terminate accounts in case of breach of these Terms or for any reason deemed appropriate by the IMF.
Acceptable Use
- You must not use the Platform for any illegal or unlawful purposes.
- You must not violate intellectual property rights or third-party rights.
- Do not engage in spamming, harassing, deceptive, or fraudulent behavior.
- Do not upload or transmit any viruses, malware, or other harmful code.
- Do not attempt to gain unauthorized access to the Platform or its systems.
User Content
- You retain ownership of the content you submit to the Platform (“User Content”).
- You grant the IMF a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display User Content for operating, promoting, and improving the Platform.
- Ensure User Content is not infringing, offensive, defamatory, or unlawful.
- You are solely responsible for your User Content and any consequences arising from it.
Intellectual Property
- The IMF’s content, trademarks, logos, and other intellectual property on the Platform remain the sole property of the IMF or its licensors. You must not use them without express permission.
- We respect intellectual property rights. If you believe there’s copyright infringement, please contact us with details.
Fees and Payment
- Membership fees or other charges for certain services will be clearly indicated.
- You authorize the IMF to charge your chosen payment method for recurring fees (if applicable) and any other applicable charges.
- Fees are non-refundable except as required by law or our explicit policies.
Third-Party Services
The Platform may include links to third-party websites or services. These are provided for convenience but are not controlled by the IMF. We are not responsible for content or practices on external sites.
Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THE PLATFORM’S ACCURACY, RELIABILITY, TIMELINESS, OR THAT IT WILL BE ERROR-FREE.
Limitation of Liability
IN NO EVENT SHALL THE IMF, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OR INABILITY TO USE THE PLATFORM, EVEN IF WE’VE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY OF LIABILITY.
Indemnification
You agree to indemnify and hold harmless the IMF, its affiliates, directors, employees, and agents from any claims, losses, damages, or costs arising from your breach of these Terms or your use of the Platform.
Governing Law and Jurisdiction
These Terms, and any disputes arising from them, shall be governed by the laws of Estonia, without regard to its conflict of laws principles. Disputes shall be resolved exclusively in the courts of [Insert jurisdiction].
Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
